IMPORTANT NOTICE
THIS IS AN ALPHA USER AGREEMENT FOR PRE-RELEASE SOFTWARE.
By participating in the Promptable Alpha Program and clicking "I Accept" or using the Service, you enter into a legally binding agreement with Promptable Technologies, Inc. ("Promptable," "we," "us," or "our").
THIS AGREEMENT INCLUDES:
- Confidentiality obligations (you cannot share details about alpha features)
- Feedback ownership (we own your suggestions and bug reports)
- Limitation of liability (you use at your own risk)
- Disclaimer of warranties (software is provided "AS IS")
- Testing obligations (you agree to test and report issues)
IF YOU DO NOT AGREE TO THESE TERMS, DO NOT PARTICIPATE IN THE ALPHA PROGRAM.
1. DEFINITIONS
As used in this Agreement:
"Alpha Software" means the pre-release version of Promptable currently in alpha testing, including all features, documentation, and materials provided.
"Confidential Information" means all information related to the Alpha Software including but not limited to: unreleased features, functionality, user interface, performance data, known bugs, roadmap, documentation, and any other non-public information.
"Feedback" means all suggestions, comments, bug reports, feature requests, ideas, and other feedback you provide about the Alpha Software.
"Alpha Period" means the period beginning when you accept this Agreement and ending when: (1) the Alpha Program terminates, (2) your participation is terminated, or (3) the Alpha Software is released to the public or as a beta version.
"Your Content" means prompts, files, and other content you create and upload through the Alpha Software, which remains your property as specified in the Terms of Service.
"You" or "Alpha User" means the individual participating in the Alpha Program.
2. ALPHA PROGRAM OVERVIEW
2.1 Purpose
The Promptable Alpha Program is a limited, invitation-only testing program designed to:
- Evaluate and test pre-release software
- Identify bugs, defects, and issues
- Gather user feedback on features and usability
- Validate product-market fit
- Improve the software before broader release
2.2 Acceptance into Program
Participation in the Alpha Program is:
- By invitation only - You have been selected to participate
- Voluntary - You may decline or withdraw at any time
- Unpaid - You will not receive compensation for testing
- Limited - Promptable may limit the number of participants
- Revocable - Promptable may terminate your participation at any time
2.3 Alpha Program Changes
Promptable reserves the right to:
- Modify the Alpha Program structure
- Add or remove features from testing
- Limit access to certain features
- Change testing priorities
- Terminate the Alpha Program entirely
3. LICENSE GRANT
3.1 Limited License
Subject to your compliance with this Agreement, Promptable grants you a limited, non-exclusive, non-transferable, revocable, non-sublicensable license to access and use the Alpha Software during the Alpha Period solely for:
- Evaluation and testing purposes
- Providing feedback to Promptable
- Evaluation and testing with non-confidential data only (not for production, commercial, mission-critical purposes, or with confidential/sensitive data)
3.2 License Restrictions
You shall NOT:
- Use the Alpha Software for production, mission-critical, or business-critical purposes
- Use the Alpha Software with confidential, proprietary, or sensitive data
- Use the Alpha Software to provide services to third parties
- Sell, rent, lease, or sublicense access to the Alpha Software
- Distribute, share, or provide access to the Alpha Software to others
- Use the Alpha Software for competitive analysis or benchmarking
- Reverse engineer, decompile, or disassemble the Alpha Software (except as permitted by law)
- Remove or modify any proprietary notices on the Alpha Software
- Circumvent any technical limitations or access controls
- Use the Alpha Software in violation of any laws or regulations
3.3 Reservation of Rights
Promptable retains all rights, title, and interest in and to the Alpha Software, including all intellectual property rights. This Agreement does not grant you any ownership rights in the Alpha Software.
3.4 Termination of License
This license automatically terminates:
- When the Alpha Period ends
- When Promptable releases the software to the public or as a beta version
- Upon your violation of this Agreement
- Upon termination of your participation (by you or us)
- When Promptable provides written notice of termination
4. ALPHA SOFTWARE DISCLAIMER
4.1 Pre-Release Status
YOU ACKNOWLEDGE AND AGREE THAT THE ALPHA SOFTWARE:
- Is believed to contain defects, bugs, and errors
- Is incomplete and under active development
- May not operate correctly or as intended
- May cause data loss or corruption
- May be unstable, insecure, or unreliable
- May change significantly or be discontinued
- Is NOT suitable for production or mission-critical use
- A primary purpose of the Alpha Program is to identify defects and issues
4.2 No Warranties
THE ALPHA SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
Promptable explicitly disclaims all warranties, express or implied, including:
- ❌ No warranty of merchantability
- ❌ No warranty of fitness for a particular purpose
- ❌ No warranty of non-infringement
- ❌ No warranty that the software will be error-free
- ❌ No warranty that the software will operate without interruption
- ❌ No warranty of data accuracy or integrity
- ❌ No warranty that defects will be corrected
- ❌ No warranty of compatibility with your systems
- ❌ No warranty of security or protection from threats
4.3 Feature Changes
Features may:
- Be added, removed, or modified without notice
- Work differently than described
- Be discontinued before public release
- Never be released to the public
You should not rely on any feature being available in future versions.
4.4 Data Loss Risk
DATA LOSS MAY OCCUR. Despite our efforts to protect your data:
- The Alpha Software may delete, corrupt, or lose your data
- Backups may fail or be corrupted
- Server errors may cause data loss
- Software bugs may destroy data
- Feature changes may make data incompatible
YOU ARE SOLELY RESPONSIBLE FOR BACKING UP ANY IMPORTANT DATA. We are not liable for any data loss during the Alpha Period.
4.5 Security Vulnerabilities
The Alpha Software may contain security vulnerabilities including:
- Unpatched security holes
- Weak authentication mechanisms
- Unencrypted data transmission or storage
- Access control bypasses
- Exposure of sensitive information
DO NOT USE THE ALPHA SOFTWARE FOR:
- Storing highly sensitive or confidential information
- Processing financial or payment data
- Handling personal health information
- Mission-critical business operations
- Any purpose where a security breach would cause significant harm
5. YOUR TESTING OBLIGATIONS
5.1 Testing Requirements
As an Alpha User, you agree to:
Test the Alpha Software:
- Use the software under reasonably normal operating conditions
- Test various features and functionality
- Attempt to identify bugs, issues, and defects
- Explore edge cases and unusual usage patterns
Report Issues:
- Report bugs, errors, and defects in a timely manner
- Provide detailed descriptions of problems
- Include steps to reproduce issues
- Report security vulnerabilities immediately
Provide Feedback:
- Share your opinions about features and usability
- Suggest improvements and enhancements
- Respond to surveys and questionnaires (when sent)
- Participate in user interviews (if invited and willing)
5.2 Feedback Channels
Provide feedback through designated channels only:
- Bug Reports: bugs@promptable.us or in-app bug report form
- Feature Requests: feedback@promptable.us or in-app feedback form
- Security Issues: security@promptable.us (do not disclose publicly)
- General Feedback: feedback@promptable.us
DO NOT:
- Post about bugs or issues publicly (social media, forums, etc.)
- Disclose security vulnerabilities publicly before we address them
- Share feedback through unsupported channels
5.3 Communication
You agree to:
- Respond to inquiries from Promptable in a reasonable timeframe
- Participate in optional surveys and feedback sessions
- Provide contact information that allows us to reach you
- Notify us if you are unable to continue testing
5.4 No Guarantee of Implementation
Promptable is NOT obligated to:
- Fix bugs you report
- Implement features you suggest
- Respond to every piece of feedback
- Explain why feedback was or was not implemented
- Release features you tested to the public
6. FEEDBACK OWNERSHIP AND INTELLECTUAL PROPERTY
6.1 Feedback Belongs to Promptable
ALL FEEDBACK YOU PROVIDE BECOMES THE EXCLUSIVE PROPERTY OF PROMPTABLE.
By providing Feedback, you irrevocably assign to Promptable all right, title, and interest in and to the Feedback, including:
- All intellectual property rights (copyrights, patents, trademarks, trade secrets)
- The right to use, modify, and commercialize the Feedback
- The right to incorporate Feedback into the Alpha Software or future products
- The right to disclose or keep confidential the Feedback
6.2 No Compensation
You will receive no compensation for Feedback. Feedback is provided voluntarily without expectation of payment, equity, or other consideration.
6.3 Your Content Ownership
This provision does NOT apply to Your Content (prompts and files you create). You retain ownership of Your Content as specified in the Terms of Service.
The distinction:
- Feedback (bug reports, feature suggestions) = Promptable owns
- Your Content (prompts, files you create) = You own
6.4 Pre-Existing Intellectual Property
If you provide Feedback that incorporates your pre-existing intellectual property:
- You grant Promptable a perpetual, irrevocable, worldwide, royalty-free license to use it
- You represent that you have the right to grant this license
- You waive any moral rights or attribution requirements
6.5 Promptable Intellectual Property
Promptable owns all rights to:
- The Alpha Software (all code, algorithms, designs)
- All improvements and derivatives
- All documentation and materials
- All branding and trademarks
- All data and analytics derived from your use
You acquire no rights in any Promptable intellectual property.
7. CONFIDENTIALITY OBLIGATIONS
7.1 Confidential Information
During the Alpha Period, you will have access to Promptable's Confidential Information including:
Always Confidential:
- Unreleased features and functionality
- Alpha-only features that may not reach public release
- Performance metrics, benchmarks, and analytics
- Known bugs, defects, and limitations
- Product roadmap and future plans
- Alpha Program structure and participation details
- Internal documentation and materials
- Pricing or business model information (if disclosed)
- Any information marked or identified as confidential
Conditionally Confidential:
- Features that exist in alpha but are not yet public
- User interface designs not yet released
- API endpoints and data structures not documented publicly
7.2 Confidentiality Obligations
YOU AGREE TO:
- Keep all Confidential Information strictly confidential
- Not disclose Confidential Information to any third party
- Not use Confidential Information except for testing purposes
- Protect Confidential Information with at least the same care you use for your own confidential information (but no less than reasonable care)
- Limit access to Confidential Information to only yourself
- Not create derivative works from Confidential Information
- Not reverse engineer the Alpha Software to discover Confidential Information
YOU AGREE NOT TO:
- ❌ Post screenshots, videos, or screen recordings publicly
- ❌ Discuss unreleased features on social media
- ❌ Share performance metrics or benchmarks
- ❌ Write blog posts, articles, or reviews about alpha features
- ❌ Disclose bugs or vulnerabilities publicly
- ❌ Share documentation or materials with non-participants
- ❌ Allow others to use your account or access the Alpha Software
- ❌ Discuss alpha features in public forums, Reddit, Discord, etc.
7.3 Permitted Disclosures
You MAY disclose:
- Your own prompts and content that you created (unless marked confidential by us)
- General existence of the Alpha Program (e.g., "I'm testing Promptable") without details
- Public information that Promptable has officially announced on the website, blog, or social media
- Information Promptable explicitly permits you to share in writing
Seek permission first: If uncertain whether you can share something, email legal@promptable.us.
7.4 Required Disclosures
If you are legally required to disclose Confidential Information (e.g., court order, subpoena):
- Notify Promptable immediately (unless legally prohibited)
- Limit disclosure to what is legally required
- Seek protective orders to maintain confidentiality if possible
- Provide Promptable opportunity to challenge the disclosure
7.5 Duration of Confidentiality
Confidentiality obligations survive for 2 years after:
- Your participation in the Alpha Program ends, OR
- The information becomes public through no fault of yours
Whichever is later.
7.6 Consequences of Breach
Breach of confidentiality may result in:
- Immediate termination from the Alpha Program
- Deletion of your account
- Legal action for damages
- Injunctive relief (court order to stop disclosure)
- Liability for Promptable's losses and legal fees
7.7 Return of Materials
Upon termination or upon request, you agree to:
- Delete all Alpha Software from your devices within 10 days
- Return or destroy any documentation or materials provided
- Certify in writing that you have complied with this section
- Not retain copies of Confidential Information
8. DATA PRIVACY DURING ALPHA
8.1 Privacy Policy Applies
The Promptable Privacy Policy applies to your use of the Alpha Software and is incorporated into this Agreement by reference.
8.2 Additional Alpha Data Collection
During the Alpha Period, we collect additional data beyond what is described in the Privacy Policy:
Enhanced Analytics:
- Detailed feature usage tracking
- Performance and error metrics
- User flow and navigation patterns
- Session duration and frequency
- Click tracking and heatmaps
Optional Data:
- Session recordings (with explicit consent)
- Diagnostic logs with detailed error information
- Survey responses
- Interview recordings (with consent)
Purpose: Improve the Alpha Software and make informed product decisions.
8.3 Your Privacy Rights Still Apply
You retain all privacy rights described in the Privacy Policy including:
- Right to access your data
- Right to delete your account
- Right to export your data
- CCPA and state privacy rights (if applicable)
8.4 Alpha Data Retention
Enhanced alpha testing data is retained for:
- 90 days after the Alpha Period ends for analysis
- Then deleted unless anonymized for long-term analytics
Standard data (Your Content, account data) follows regular retention periods in the Privacy Policy.
8.5 Opting Out of Enhanced Analytics
You can opt out of enhanced analytics:
- Go to Account Settings → Privacy
- Toggle "Enhanced Alpha Analytics" to OFF
- Note: Basic usage data is still collected for core functionality
Opting out does not affect your ability to participate in Alpha.
9. LIMITATION OF LIABILITY
9.1 Maximum Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMPTABLE'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE ALPHA SOFTWARE SHALL NOT EXCEED $0 (ZERO DOLLARS).
The Alpha Software is provided for free without any payment from you. Accordingly, Promptable has no financial liability to you.
9.2 Exclusion of Damages
PROMPTABLE SHALL NOT BE LIABLE FOR ANY:
- Direct damages - Any immediate losses or costs
- Indirect damages - Losses not directly caused by the Alpha Software
- Incidental damages - Side effects of other damages
- Consequential damages - Foreseeable results of defects
- Punitive damages - Damages intended to punish
- Special damages - Unique or unusual losses
INCLUDING BUT NOT LIMITED TO:
- ❌ Loss of data, files, or content
- ❌ Loss of profits, revenue, or business opportunities
- ❌ Cost of substitute services or products
- ❌ Business interruption or downtime
- ❌ Loss of anticipated savings
- ❌ Damage to reputation or goodwill
- ❌ Personal injury or property damage
- ❌ Time spent testing or providing feedback
- ❌ Corruption or loss of data
- ❌ Security breaches or unauthorized access
- ❌ Errors, bugs, or defects in the Alpha Software
- ❌ Failure of the Alpha Software to meet expectations
- ❌ Termination of your participation
- ❌ Any other losses or damages of any kind
THESE LIMITATIONS APPLY:
- Even if Promptable was advised of the possibility of damages
- Even if damages were foreseeable
- Even if a remedy fails of its essential purpose
- Regardless of the theory of liability (contract, tort, negligence, strict liability, etc.)
- Even if caused by Promptable's negligence
9.3 Alpha Software Exception
BECAUSE THE ALPHA SOFTWARE IS PRE-RELEASE AND PROVIDED AT NO COST:
- You expressly waive any claims for damages
- You assume all risks associated with using the Alpha Software
- You acknowledge that defects, data loss, and failures are expected
- You agree that Promptable has NO liability for alpha software issues
9.4 Basis of the Bargain
You acknowledge that:
- These limitations of liability are fundamental to this Agreement
- Promptable would not provide the Alpha Software without these limitations
- The allocation of risk is reflected in the fact that the Alpha Software is provided free
- You have an opportunity to accept or reject these limitations by declining participation
9.5 Jurisdictional Limitations
Some jurisdictions do not allow limitation of liability for personal injury, gross negligence, or willful misconduct. If such laws apply to you, some limitations may not apply, but they apply to the maximum extent permitted by law.
10. INDEMNIFICATION
10.1 Your Indemnification Obligation
YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS Promptable, its affiliates, and their respective officers, directors, employees, agents, contractors, and representatives from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Alpha Software
- Your breach of this Agreement
- Your violation of any law or regulation
- Your violation of any third party rights (including intellectual property, privacy, or publicity rights)
- Your Content (prompts and files you create)
- Your disclosure of Confidential Information
- Your Feedback (if it infringes third party rights)
- Your negligence or willful misconduct
- Claims by anyone using your account or having access through you
10.2 Indemnification Process
Promptable will:
- Provide you with prompt written notice of any claim
- Give you control of the defense and settlement (subject to our approval)
- Provide reasonable cooperation at your expense
You agree:
- Not to settle any claim that imposes obligations on Promptable without our prior written consent
- Not to settle any claim that admits liability on behalf of Promptable
- Not to settle any claim that does not include a full release of Promptable
10.3 Promptable's Right to Participate
Promptable reserves the right, at its own expense, to:
- Assume exclusive defense and control of any claim
- Participate in defense alongside your counsel
- Approve or reject any settlement
11. REPRESENTATIONS AND WARRANTIES
11.1 Your Representations
By participating in the Alpha Program, you represent and warrant that:
- You are at least 13 years of age
- You have authority to enter into this Agreement
- You have read and understood this Agreement
- You are not a competitor or employed by a direct competitor of Promptable
- You will not use the Alpha Software for competitive analysis
- You have no conflicts of interest that would prevent you from participating
- You will comply with all applicable laws and regulations
- Your Feedback does not violate any third party rights
- Your Content does not infringe any intellectual property rights
- You will not circumvent security measures or technical limitations
- You are not located in a country subject to U.S. embargo or sanctions
11.2 No Conflicts of Interest
You represent that you are NOT:
- Employed by a company that competes directly with Promptable
- Developing a competing product or service
- Under any obligation (e.g., non-compete agreement) that prevents participation
- Prohibited from accessing or using the Alpha Software
If you become aware of a conflict of interest, notify us immediately at legal@promptable.us.
11.3 Compliance with Laws
You represent that you will:
- Comply with all applicable laws, including export control laws
- Not use the Alpha Software for illegal purposes
- Not upload prohibited content (CSAM, malware, etc.)
- Not violate any third party rights
- Report any illegal content you discover
11.4 Breach of Representations
If any representation is false or becomes false:
- Notify Promptable immediately
- Your participation may be terminated
- You may be liable for damages resulting from the breach
12. TERMINATION
12.1 Termination by You
You may terminate your participation in the Alpha Program at any time by:
- Emailing alpha@promptable.us with "Terminate Alpha Participation"
- Deleting your account through account settings
- Ceasing to use the Alpha Software
Upon termination:
- Your obligations under this Agreement survive (confidentiality, indemnification, IP)
- You must comply with Section 12.4 (effects of termination)
12.2 Termination by Promptable
Promptable may terminate your participation immediately, with or without notice, for any reason including:
- Violation of this Agreement (confidentiality breach, prohibited use, etc.)
- Violation of Terms of Service or Privacy Policy
- Inactivity or failure to test the software
- Conflicts of interest or competitive concerns
- Security reasons (account compromise, suspicious activity)
- At our sole discretion for any reason or no reason
12.3 Automatic Termination
Your participation automatically terminates when:
- The Alpha Program ends
- The Alpha Software is released to the public or as a beta version
- Promptable discontinues the Alpha Software
- You are no longer eligible to participate
12.4 Effects of Termination
Upon termination of your participation:
Immediate Effects:
- Your license to the Alpha Software terminates immediately
- You must cease all use of the Alpha Software
- Your access to the Alpha Software will be revoked
Within 10 Days:
- Delete all copies of the Alpha Software from your devices
- Delete all Alpha Program documentation and materials
- Destroy any confidential information in your possession
- Certify in writing that you have complied (if requested)
Your Data:
- Your Content (prompts and files) will be available for export for 30 days
- After 30 days, Your Content will be permanently deleted
- Enhanced alpha analytics data will be deleted per Privacy Policy
Surviving Obligations:
- Confidentiality obligations survive for 2 years
- Indemnification obligations survive indefinitely
- Limitation of liability survives indefinitely
- Feedback ownership survives indefinitely
- Intellectual property provisions survive indefinitely
No Refunds:
- The Alpha Software was provided for free
- No refunds or compensation are due upon termination
12.5 No Liability for Termination
Promptable is NOT liable for:
- Termination of your participation
- Loss of access to the Alpha Software
- Deletion of Your Content after the 30-day period
- Any damages resulting from termination
13. EXPORT COMPLIANCE
13.1 Export Control Laws
The Alpha Software may be subject to U.S. export control laws and regulations including the Export Administration Regulations (EAR) and International Traffic in Arms Regulations (ITAR).
13.2 Your Obligations
You agree NOT to:
- Export, re-export, or transfer the Alpha Software to prohibited countries
- Provide access to the Alpha Software to persons on U.S. government restricted parties lists
- Use the Alpha Software for prohibited end uses (e.g., weapons development, nuclear activities)
- Violate any applicable export control laws
13.3 Restricted Countries
You may NOT use the Alpha Software if you are located in or a national of:
- Cuba, Iran, North Korea, Syria, or Crimea region of Ukraine
- Any country subject to U.S. embargo or sanctions
- Any country listed on the U.S. State Department's list of state sponsors of terrorism
13.4 Restricted Parties
You represent that you are NOT on any U.S. government restricted parties list including:
- Specially Designated Nationals (SDN) List
- Denied Persons List
- Entity List
- Unverified List
13.5 Compliance Certification
By accepting this Agreement, you certify that:
- You are not located in a restricted country
- You are not on a restricted parties list
- You will comply with all export control laws
- You will notify Promptable if your status changes
14. DISPUTE RESOLUTION
14.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
14.2 Informal Resolution
Before filing any formal legal action, you agree to:
- Contact Promptable at legal@promptable.us
- Describe the dispute in detail
- Attempt to resolve the dispute through good-faith negotiations
- Allow 30 days for informal resolution
14.3 Binding Arbitration
Any dispute arising out of or relating to this Agreement shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
Arbitration Terms:
- Arbitration shall be conducted in Irvine, California
- One arbitrator mutually agreed upon or appointed by AAA
- Discovery shall be limited to what is reasonably necessary
- Arbitrator's decision is final and binding
- Judgment on the award may be entered in any court with jurisdiction
- You waive your right to a jury trial
YOU AGREE TO RESOLVE DISPUTES THROUGH ARBITRATION AND NOT IN COURT.
14.4 Class Action Waiver
YOU AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS.
- You waive the right to participate in class actions, class arbitrations, or representative actions
- Claims may not be consolidated with claims of other Alpha Users
- You may not serve as a representative or member of a class
This waiver is a material term of this Agreement. If the class action waiver is found unenforceable, the arbitration provision (if applicable) is void.
14.5 Exceptions to Arbitration/Jurisdiction
Either party may seek the following relief in court without first attempting arbitration:
- Injunctive relief to prevent confidentiality breaches
- Intellectual property protection (trademark, copyright, patent claims)
- Preliminary relief to prevent irreparable harm
- Small claims court actions (if within jurisdictional limits)
14.6 Statute of Limitations
Any claim arising out of or relating to this Agreement or the Alpha Software must be filed within 1 year after the cause of action accrues. Otherwise, the claim is permanently barred.
14.7 Attorney's Fees
In any legal action arising from this Agreement:
- The prevailing party may recover reasonable attorneys' fees and costs
- This applies to arbitration, litigation, and appeals
- Fees include pre-litigation costs, if applicable
15. GENERAL PROVISIONS
15.1 Entire Agreement
This Agreement, together with the Promptable Terms of Service and Privacy Policy (both incorporated by reference), constitute the entire agreement between you and Promptable regarding the Alpha Program and supersede all prior agreements and understandings.
15.2 Amendments
Promptable may modify this Agreement at any time by:
- Posting an updated version
- Notifying you via email or through the Alpha Software
- Providing at least 15 days' notice (for material changes)
Your continued participation after changes take effect constitutes acceptance. If you do not agree, you must terminate your participation.
15.3 Severability
If any provision of this Agreement is held to be invalid, illegal, or unenforceable:
- The remaining provisions remain in full force and effect
- The invalid provision shall be modified to the minimum extent necessary to make it valid
- If modification is not possible, the invalid provision shall be severed
15.4 Waiver
Promptable's failure to enforce any provision of this Agreement does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of Promptable.
15.5 Assignment
You may NOT assign or transfer this Agreement or your rights/obligations without Promptable's prior written consent.
Promptable may assign this Agreement without your consent in connection with:
- Merger, acquisition, or consolidation
- Sale of substantially all assets
- Corporate reorganization
15.6 No Third-Party Beneficiaries
This Agreement does not create any third-party beneficiary rights. Only you and Promptable may enforce this Agreement.
15.7 Force Majeure
Promptable shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including:
- Acts of God (natural disasters, pandemics)
- War, terrorism, or civil unrest
- Government actions or regulations
- Strikes or labor disputes
- Internet or telecommunications failures
- Cyber attacks or security incidents
- Failures of third-party service providers
15.8 Notices
Notices to you may be sent via:
- Email to your registered email address
- In-app notifications
- Posted updates in the Alpha Software
Notices to Promptable must be sent to:

15.9 Survival
The following provisions survive termination of this Agreement:
- Section 4 (Alpha Software Disclaimer)
- Section 6 (Feedback Ownership and IP)
- Section 7 (Confidentiality) - for 2 years
- Section 9 (Limitation of Liability)
- Section 10 (Indemnification)
- Section 14 (Dispute Resolution)
- Section 15 (General Provisions)
15.10 Relationship of Parties
This Agreement does not create:
- An employment relationship
- A partnership or joint venture
- An agency relationship
- Any form of business association
You are an independent Alpha User participating voluntarily.
15.11 Language
This Agreement is written in English. Any translations are provided for convenience only. In case of conflict between versions, the English version controls.
15.12 Headings
Section headings are for convenience only and do not affect interpretation of this Agreement.
15.13 Counterparts
This Agreement may be executed in counterparts (including electronic acceptance), each of which is deemed an original, and all of which together constitute one agreement.

17. ACKNOWLEDGMENT AND ACCEPTANCE
BY CLICKING "I ACCEPT," CHECKING THE ACCEPTANCE BOX, OR USING THE ALPHA SOFTWARE, YOU ACKNOWLEDGE THAT:

Best Practices for Alpha Testing
DO:
- ✅ Test features thoroughly and systematically
- ✅ Report bugs with detailed steps to reproduce
- ✅ Provide constructive, specific feedback
- ✅ Try to break things (that's the point!)
- ✅ Test on different devices and browsers
- ✅ Report security issues immediately and privately
- ✅ Back up important data regularly
- ✅ Assume features may change or disappear
- ✅ Be patient with bugs and issues
- ✅ Communicate clearly and respectfully
DON'T:
- ❌ Use for production or mission-critical work
- ❌ Store sensitive or irreplaceable data
- ❌ Post screenshots or videos publicly
- ❌ Discuss unreleased features on social media
- ❌ Share your account or access with others
- ❌ Expect immediate responses or fixes
- ❌ Assume features will make it to release
- ❌ Disclose security vulnerabilities publicly
- ❌ Complain publicly about alpha issues
- ❌ Expect compensation for testing
Reporting Security Issues
If you discover a security vulnerability:
- DO NOT disclose publicly - Email security@promptable.us immediately
- Provide details - How to reproduce, impact, affected systems
- Give us time - Allow reasonable time to fix before any disclosure
- We will acknowledge - Within 24-48 hours
- We will credit you - If you wish, in release notes (after fix)
We will NOT take legal action against good-faith security researchers who follow responsible disclosure practices.
APPENDIX B: FREQUENTLY ASKED QUESTIONS
Q: Am I paid to participate in the Alpha Program? A: No. Participation is voluntary and unpaid.
Q: Can I use Promptable for my business during alpha? A: You can test with business workflows using non-confidential data, but the Alpha Software is not suitable for production, commercial, or mission-critical use. Do not store confidential or sensitive data. While we follow industry best practices, this is alpha software under active development.
Q: What happens to my data when alpha ends? A: Your data (prompts and files) will transition to the next phase (beta or production) unless you choose to delete your account.
Q: Can I share screenshots of the alpha software? A: No, unless Promptable gives explicit written permission.
Q: Who owns the prompts I create? A: You do. You retain ownership of Your Content. See the Terms of Service for details.
Q: Who owns the feedback I provide? A: Promptable does. All Feedback becomes Promptable's property.
Q: Can I opt out of enhanced analytics? A: Yes. Go to Account Settings → Privacy → Toggle "Enhanced Alpha Analytics" OFF.
Q: What if I break my confidentiality obligations? A: Your participation will be terminated, and Promptable may take legal action.
Q: Can I terminate my participation? A: Yes, at any time by emailing alpha@promptable.us or deleting your account.
Q: Will Promptable implement my feature suggestions? A: Maybe. Promptable has no obligation to implement any suggestions.
Q: What happens if the alpha software causes data loss? A: Promptable is not liable. You accept this risk by participating. Back up your data.
Q: Can I use the alpha software to evaluate competing with Promptable? A: No. That violates the "no competitive use" restriction.
Q: What if I'm under NDA with my employer? A: You must ensure participating doesn't violate your employer's NDA. Consult your employer if uncertain.
Q: How long will the Alpha Program last? A: Promptable may end the Alpha Program at any time without notice.
Q: What's the difference between alpha and beta? A: Alpha is earlier, more unstable, and more confidential. Beta may have wider access and fewer restrictions.
